Terms and Conditions of Use

1. Introduction and Acceptance
Welcome to the Arabian Centers Company (“Cenomi”, “we”, “us” or “our”) operated webpage within Unibail-Rodamco-Westfield’s (“Westfield”) website relating to Westfield Cenomi malls in the Kingdom of Saudi Arabia (the “Cenomi Webpage”).
We are a publicly listed company established in the Kingdom of Saudi Arabia with our full name Arabian Centers Company a registered office at King Saud University, Prince Turki Bin Abdulaziz AlAwal Street; Uwalk Riyadh, and registered company number 1010209177.
These Terms and Conditions of Use (“Terms”) constitute the agreement between you, the end user (“customer”, “user”, “you” or “your”), and us in regard to your use of the Cenomi Webpage, regardless of the manner in which you access or use the Cenomi Webpage.
If you want to use the Cenomi Webpage, you must carefully read these Terms, because it constitutes a written contract between you and Cenomi and it affects your legal rights and obligations. Each time you access and/or use the Cenomi Webpage, you agree to be bound by and comply with these Terms. Do not use the Cenomi Webpage if you do not agree to these Terms.
The Cenomi Webpage also facilitates participation in Cenomi’s Loyalty Program, parking management, and promotional challenges, subject to additional terms under the Loyalty Program section (applicable when the programs are active).

3. Relationship with Westfield
The Cenomi Webpage is hosted within Westfield’s website. Westfield’s Terms and Conditions apply to your broader use of the Westfield website. However, these Terms exclusively govern your access to and use of the Cenomi Webpage and any services, features, content, forms, or promotions made available on or through the Cenomi Webpage. In the event of any conflict between Westfield’s Terms and Conditions and these Terms with respect to the Cenomi Webpage, these Terms shall prevail.
4. Description of Services
The Cenomi Webpage provides:
Information on Westfield Cenomi malls, stores, offers, and events in the Kingdom of Saudi Arabia.
Digital services such as parking assistance, promotions, or online concierge.
Some services may be subject to additional or specific terms and conditions, which will be presented to you at the point of use. By using those services, you agree to the applicable specific terms in addition to these Terms.
5. Eligibility
Use of the Cenomi Webpage is restricted to individuals aged 18 years or older. Minors must access under the supervision of a parent or guardian who agrees to these Terms on their behalf.
6. Acceptable Use
You agree not to:
Use the Cenomi Webpage for unlawful, fraudulent, or malicious purposes, or in violation of applicable laws or these Terms.
Attempt to gain unauthorized access to any system or data, or interfere with or disrupt the normal operation of the Cenomi Webpage (including by introducing malware or engaging in spamming).
Post, upload, or transmit any content that is defamatory, obscene, offensive, hateful, discriminatory, infringes third-party rights, violates public decency, or is otherwise objectionable in Cenomi’s sole judgment.
Use automated scripts, scraping tools, bots, or impersonation in connection with the Cenomi Webpage.
Reverse engineer, decompile, disassemble, adapt, or create derivative works of any part of the Cenomi Webpage.
Copy, modify, distribute, or reproduce any part of the Cenomi Webpage without prior written permission.
Disrupt the normal operation of the Cenomi Webpage (e.g., introducing malware or spamming).
Any violation of this Section may, in Cenomi’s sole discretion, result in suspension or termination of your access to the Cenomi Webpage and may subject you to liability, including for damages, costs, and expenses (including attorneys’ fees) incurred by Cenomi in enforcing its rights.
7. Intellectual Property
Subject to your compliance with these Terms, Cenomi grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited licence to access and use the Cenomi Webpage for your personal, non-commercial purposes. This licence does not grant you any ownership rights in the Cenomi Webpage or any content therein.
All materials on the on the Cenomi Webpage —including text, graphics, logos, images, videos, software, and design—are owned or licensed by Cenomi and protected by copyright, trademark, and intellectual property laws. Unauthorized use may result in legal action
Users may submit feedback, comments, or materials through the Cenomi Webpage (“User Content”). By submitting User Content, you grant Cenomi a worldwide, royalty-free, irrevocable, perpetual, transferable, and sublicensable licence to use, copy, perform, display, reproduce, adapt, modify, distribute, and create derivative works from such User Content in any media. You represent and warrant that you have all rights necessary to grant the foregoing licence and that your User Content does not infringe any third-party rights or violate applicable laws.
8. Promotions and Offers
Promotions, offers, and campaigns presented on or via the Cenomi Webpage are subject to separate terms and eligibility requirements and may be modified or withdrawn at any time in Cenomi’s discretion. Participation may require verification and consent to data use consistent with our Privacy Policy.
9. Linking
Linking to third party sites. The Cenomi Webpage may provide links to other websites operated by third parties who are not related to, affiliated with or endorsed by Cenomi. These links are provided for your information only. Third party platforms are not governed by these Terms but by other agreements or policies that may differ from these Terms. In visiting any third party platforms, whether linked to on the Cenomi Webpage or otherwise, you do so at your own risk and you assume all responsibility in that regard. We make no representations or warranties regarding, and do not endorse, any third party platforms or any content in such platforms. We encourage you to review the terms of use of each third party platform visited before using those platforms.
Linking to Cenomi Webpage. You may link to the Cenomi Webpage, provided you do so in a way that is fair and legal, is non-deceptive and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to the Cenomi Webpage in any website that is not owned by you. The Cenomi Webpage must not be framed on any other website, nor may you create a link to any part of the Cenomi Webpage other than the home page. We reserve the right to withdraw linking permission without notice.
10. Updates; Availability
We aim to update the Cenomi Webpage regularly, and may change its content at any time. We reserve the right to suspend access to the Cenomi Webpage, modify, adapt, or update any service or content provided on the Cenomi Webpage, or close the Cenomi Webpage indefinitely, for any reason and without notice. We make no promise that the Cenomi Webpage remains available or that materials will be kept up to date.
11. Disclaimer of Warranties
The Cenomi Webpage and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted under applicable law, Cenomi and its affiliates disclaim all warranties, express or implied (whether by statute, common law, or the law of equity), including implied warranties of merchantability, fitness for a particular purpose, performance, suitability, title, and non-infringement.
We do not warrant that the Cenomi Webpage will meet your requirements, be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Cenomi Webpage is free of viruses or other harmful components. You access and use content at your own discretion and risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Cenomi shall not be liable for any: (a) loss of income or revenue; (b) loss of business; (c) loss of profits or contracts; (d) loss of anticipated savings; (e) loss of data; or (f) any indirect, incidental, special, consequential, exemplary, or punitive damages, arising out of or in connection with your use of or inability to use the Cenomi Webpage, unauthorized access to or alteration of your data, or any third-party content or services accessed through the Cenomi Webpage, whether based in contract, tort (including negligence), strict liability, or otherwise, even if foreseeable.
13. Termination; Suspension
Cenomi reserves the right, in its sole discretion, to immediately suspend or terminate your access to all or part of the Cenomi Webpage and to suspend or terminate your account, with or without notice.
14. Governing Law and Jurisdiction
These Terms (and any contractual and non-contractual rights or obligations arising out of or in connection with it) shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute or claim, including any non-contractual disputes or claims, arising out of or in connection with these Terms or its subject matter or formation, shall be finally administered by the Saudi Center for Commercial Arbitration (“SCCA”) in accordance with its Arbitration Rules (the “Rules”). The arbitration shall be conducted by a sole arbitrator appointed by the SCCA in accordance with the Rules. Each party pays its own costs in connection with the arbitration proceedings. The arbitration shall take place in the English language and the seat shall be at the SCCA, in Riyadh, the Kingdom of Saudi Arabia. Judgment for any award rendered may be entered in any court having jurisdiction or an application may be made to such court for a judicial recognition of the award or an order of enforcement thereof, as the case may be.
15. Changes to Terms
We may update these Terms from time to time. The updated version will be posted on the Cenomi Webpage with the revision date. Your continued use after such changes constitutes acceptance of the revised Terms.
16. Language.
In the event of any conflict or inconsistency between the English and the Arabic versions of this Agreement, the English version shall prevail to the extent of the inconsistency.
